TERMS AND CONDITIONS OF SALE
Please read these Terms and Conditions carefully before using the Vibram Website (hereinafter, the "Site"). By placing an order with us, you are deemed to have read, understood, and agreed to these Terms and Conditions.
1. GENERAL PROVISIONS
1.1 Acceptance of Terms
By placing an order through the Site, you accept the following Terms and Conditions. These Terms and Conditions, as well as the Privacy Policy, Cookie Policy, and related terms ("Contracts"), govern the use of this Site and the purchase of products. If you do not agree to these Terms and Conditions or the Privacy Policy, you should not place any order.
1.2 Amendments
We reserve the right to revise and amend these Terms and Conditions at any time. Any order you place will be subject to the Terms and Conditions in force at the time of placing the order.
1.3 Legal Capacity
By placing an order, you warrant that you are of legal age (18 or older) and capable of entering into legally binding contracts.
2. PRODUCTS AND SITE USE
2.1 Product Descriptions and Images
We strive to ensure that all product descriptions, images, and prices are accurate; however, minor errors may occur. The colors of the products displayed on the Site are as accurate as possible, but the actual color may vary depending on your computer system.
2.2 Availability and Pricing
All features, specifications, and prices of products and services described or depicted on this Site, including those that may be available for purchase (the "Products"), are subject to change at any time without notice. We make no representation that all products will be available. Changes in price will not affect orders for which an Order Confirmation has already been sent.
2.3 Product Errors
If we discover an error in the price of any products you have ordered, we will inform you as soon as possible and give you the option of reconfirming the order at the correct price or cancelling it. If we are unable to contact you, the order will be treated as cancelled.
3. ORDERING PROCESS
3.1 Order Placement
To place an order, you must select the product and proceed through the checkout process. All information provided (personal and payment data) must be complete, accurate, and truthful.
3.2 Order Confirmation
A contract for the purchase of a product will only be concluded when we send you an Order Confirmation via email. The Order Confirmation will include a summary of the ordered products, the price, the payment method, and the delivery details.
3.3 Refusal of Order
We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in the description or price of the product, or if we suspect the order is fraudulent.
4. PAYMENT, SHIPPING, AND DELIVERY
4.1 Payment
All payments for products purchased through the Site are due in full at the time of checkout. Payment processing is outsourced to specialized third-party providers. You agree to pay all charges incurred by users of your credit card.
4.2 Shipping Costs
The shipping costs will be indicated to you during the checkout process and are included in the total price.
4.3 Risk of Loss
The risk of loss for products purchased passes to you upon delivery of the products to the carrier.
5. RIGHT OF WITHDRAWAL (RETURNS AND REFUNDS)
5.1 Right to Withdraw
You have the right to withdraw from the contract within fourteen (14) days from the day you received the products.
5.2 Withdrawal Procedure
To exercise the right of withdrawal, you must inform us of your decision to withdraw from the contract by an unequivocal statement. You must then return the products to us without undue delay and in any event no later than fourteen (14) days from the day on which you communicated your decision to withdraw from the contract.
5.3 Conditions for Return
The products must be returned in their original condition, unused, and undamaged, and in their original packaging. You will be responsible for the cost of returning the products.
5.4 Refund Process
We will process the refund of all payments received from you, excluding delivery costs, without undue delay, and no later than fourteen (14) days from the day we receive the products back. The refund will be made using the same means of payment as you used for the initial transaction.
6. WARRANTY AND FAULTY PRODUCTS
6.1 Legal Guarantee
Vibram warrants that the products comply with the contract of sale. The legal guarantee covers defects of conformity existing at the time of delivery of the goods.
6.2 Reporting Defects
You must inform Vibram of the lack of conformity within two months from the date on which you discovered the defect. Failure to report the defect within the prescribed period will result in the forfeiture of the guarantee.
6.3 Remedy
In the event of a confirmed lack of conformity, you have the right to have the product repaired or replaced free of charge. Alternatively, you may request a reduction in price or cancellation of the contract.
7. SITE USE AND INTELLECTUAL PROPERTY
7.1 Permitted Use
You may use the Site only for lawful purposes. You are responsible for all content you post. You may not use the Site for commercial purposes without our written consent.
7.2 Copyright and Intellectual Property
All content included on the Site, such as text, graphics, logos, images, audio clips, video clips, data compilations, and software, is the property of Vibram S.p.A. or its content suppliers and is protected by international copyright laws.
7.3 Trademarks
Vibram trademarks, trade names, service marks, logos, and designs used or displayed on this Site are registered and unregistered trademarks, trade names, service marks, and logos of Vibram S.p.A.. Nothing contained on this Site grants any license or right to use any trademarks, trade names, service marks, or logos displayed on this Site without the written permission of Vibram S.p.A..
8. LIMITATION OF LIABILITY
8.1 Site Functionality
Vibram makes every effort to ensure the Site is fully functional and free of errors. However, we do not guarantee that the Site, its content, or the services available will be uninterrupted or error-free.
8.2 No Warranty
The Site and the products are provided "as is" and "as available" without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
8.3 Exclusion of Damages
Vibram S.p.A., its officers, directors, employees, shareholders, affiliates, agents, successors, or assigns shall not be liable for any damages of any kind, including, without limitation, direct, indirect, incidental, punitive, and consequential damages, that result from the use of, or inability to use, the materials on this Site or the performance of the products.
9. INDEMNIFICATION
You agree to defend, indemnify, and hold Vibram and its affiliates harmless from any and all claims, liabilities, costs, and expenses (including reasonable attorney's fees) arising in any way from your use of the Site, your placement or transmission of any message, content, information, software, or other materials.
10. GOVERNING LAW AND JURISDICTION
These Terms and Conditions are governed by Italian Law. The Court of Milan shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms and Conditions or the use of the Site.
